LICENSE AGREEMENT

Techbaes LLC – Value Added Reseller (VAR) Master Agreement

Effective Date: September 1, 2025

1. Agreement Scope

This Agreement governs the use, resale, modification, and distribution of all software, applications, templates, and SaaS products (“Products”) offered for sale, license, or download via the Techbaes App Store or any affiliated Techbaes LLC platform, unless expressly excluded in writing.

2. Dynamic Product Coverage

The current list of covered Products, their descriptions, license pricing, affiliate commission rates, and key terms are published and regularly updated at:

Techbaes LLC reserves the right to update this list at any time. Continued use, resale, or distribution of any Product after updates constitutes acceptance of the revised terms.

3. Value-Added Resale Requirements

To resell any Product as your own (“White Label” or “Modified Product”), you must:

  • Add at least ten (10) new features or modify at least ten percent (10%) of the codebase or functionality.
  • Change the Product’s name and all end-user-facing branding.
  • Remove all original Techbaes and product branding, except as required for “powered by” notices (if applicable).
  • Keep clear documentation of modifications, available for Techbaes LLC audit on request.

You may NOT represent or sell a Product as original or “customized” unless all value-added requirements are satisfied.

4. Affiliate Resale (Unmodified Product)

  • If you wish to sell or refer the original (unmodified) Product, you must do so solely via the official Techbaes LLC Beacons affiliate program and link.
  • Affiliate commission: 50% of net sales via the provided affiliate link.
  • No changes to code, branding, or features permitted under the affiliate option.

5. User Limit & Enterprise License

  • The standard license for any Product covers up to 100,000 monthly active users (MAU) per instance.
  • If you expect to exceed 100,000 MAU, you must contact Techbaes LLC to negotiate an Enterprise License before exceeding this threshold.
  • Techbaes LLC reserves the right to monitor or audit MAU counts to ensure compliance.

6. Restrictions & Compliance

  • No resale, sublicensing, or redistribution of unmodified Products except as allowed by the affiliate program.
  • No deceptive marketing or misrepresentation of Product origin.
  • All modified/white-label Products must comply with applicable laws and not infringe the rights of Techbaes LLC or others.

7. Branding, Audit, and Termination

  • Techbaes LLC may audit your modified Product(s) and user counts at any time.
  • Breach of the above terms (including failure to value-add, exceeding user cap, or unauthorized affiliate use) may result in immediate license termination.
  • Techbaes LLC retains all rights not expressly granted herein.

8. General

  • Material changes to this Agreement will be posted at this URL. Your continued use or resale constitutes acceptance of the latest terms.

By purchasing, licensing, downloading, or reselling any Product from Techbaes LLC, you agree to be bound by the terms of this Master VAR Agreement and the latest version of Exhibit A.
